Approved by the General Meeting of the Association’s Members 2018 CHARTER INTERNATIONAL ASSOCIATION OF TRANSPORT UNIVERSITIES OF ASIAN-PACIFIC COUNTRIES 1. GENERAL CLAUSES 1.1. The International Association of Transport Universities of Asian-Pacific Countries, hereafter “the Association”, is a non-state, noncommercial association into which higher and special secondary educational institutions, research establishments, industrial design enterprises in the transport field, and other interested organizations may enter on a voluntary basis. Enterprises and organizations of various patterns of ownership can be members of the Association. 1.2. The Association acts according to international legislation and the present Charter. The activities of the Association are in accordance with the laws of the participants' countries. 1.3. The Association has the right to carry out business activity within the limits of the tasks set by the Charter for achievement of authorized purposes. 1.4. Those activities which can be carried out by the Association on the basis of special permits (or licenses) are carried out after receiving the required permissions (or licenses). 1.5. Members which participate in the Association retain economic independence and rights, and act on the basis of their own charters and current legislation. The Association directing bodies do not possess administrative power concerning the members of the Association. 1.6. The Association operates on the basis of principles of voluntary association, equality of members, self-management, publicity and legality. The Association independently defines the internal structure, the purposes and subject of activities, operating procedures and the competence of officials. 1.7. The Association performs its activities in accordance with the legislations of the participants' countries, generally recognized principles and norms of the international law, declarations and conventions concerning the spheres of activities of the Association. 1.8. The state whose representatives are the members of the Association, its governmental bodies and organizations do not bear responsibility for the obligations/liabilities of the Association; and the Association in its turn does not bear responsibility for the obligations/liabilities of the state. The Association does not incur liability for its members as well as the members of the Association do not incur liability for the Association. 1.9. The Association’s full name in Russian is “Международная ассоциация транспортных университетов стран Азиатско-Тихоокеанского Региона”. The Association’s full name in English is “International Association of Transport Universities of the Asian-Pacific Countries”. 2. THE PURPOSES AND OBJECTIVES OF THE ASSOCIATION 2.1. The Association’s main objectives are the consolidation of the efforts of its members in working out directions and projects of cooperation in the field of science and education in the sphere of transportation, meeting current requirements of the world community, specific countries and regions, and the creation and realization of intellectual products and services providing training and retraining of personnel. The primary goals of the Association are: - establishment of constructive, friendly cooperative relations between all participants in the areas of education, science and academic exchange; - creation of conditions for the development of links between members of the Association, realization of educational programs for training of experts, and programs of improvement of professional skills, and research work; - joint working out and realization of scientific projects according to the latest know-how, thereby promoting trade and economic cooperation between member countries; - joint holding of scientific seminars, conferences, forums, and practical courses on subjects of interest to members; - establishment and development of contacts with related international and national organizations in other countries; - exchange of delegations and experts, operational experience and information, and signing contracts on cooperation and joint activity between participants; - rendering assistance to members of the Association in obtaining and interchanging information in the fields of organization, content and teaching techniques, means of training, and educational technologies; - interaction and coordination of activity of universities for the unification of transport terminology; - conducting of further Symposia of transport universities of APC; - organizing courses for improvement of qualification of teachers, transport workers, and schools and seminars on exchange of experience; - realization of other activity which is necessary for the achievement of the objectives of the Association, which has not been prohibited by current international legislation. 3. MEMBERSHIP OF THE ASSOCIATION. THE RIGHTS AND DUTIES OF MEMBERS OF THE ASSOCIATION The association is open to the entry of new members. Admissible members are higher and special secondary educational institutions, research establishments, industrial design enterprises in the railway industry and other interested organizations of any country, whose purposes and objectives coincide with those of the Association. 3.1. The Association has the right: - to realize the authorized objectives in any order permitted by the current legislation of the participant countries; - to assist in carrying out scientific research directed to solving the problems facing the Association; - to carry out other functions connected with the maintenance of the authorized activity of the Association in the interests of its members and according to current legislation. 3.2. The Association is obliged: - to fulfill duties concerning its members; - to grant its members necessary information concerning its activity; - to promote its members’ interests in the areas provided by the authorized objectives of the Association; - to give its members the means of possibility for realizing rights provided by the Charter of Association. 3.3. Each member of the Association has the right: - to conduct joint activity with individual members of Association; - to enter into contracts concerning cooperation in the fields of joint training of experts, improvement of professional skills, and scientific research; - to organize joint scientific conferences, seminars, forums, and practical courses; - to exchange experts and delegations; - to participate in projects and programs of the Association in the spheres of education, science, industry, and economics; - to use in full the scientific and methodological information available to the Association and share equally in any of the services rendered by the Association; - to participate in scientific conferences, symposiums, exhibitions and other actions organized by the Association; - to elect and be elected to Association directing bodies; - to submit questions on entering into a sphere of activity of the Association for the consideration of its directing bodies, and to participate in discussion of these questions; - to participate in voting at sessions of the General Meeting of the Association on questions entering into the remit of the General Meeting; - to leave the Association at its own discretion. 3.4. Each member of the Association is obliged: - to actively promote the achievement of the purposes and objectives of the Association, and to promote the realization of the actions carried out by the Association; - to respect the positions of the present Charter, and the decisions accepted by the General Meeting of members of the Association; - to observe strictly its obligations to the Association; - to respect the interests of other members and of the Association as a whole, and to observe conditions of contracts and agreements concluded within the Association. 4. STRUCTURE AND MANAGEMENT OF ASSOCIATION ACTIVITY 4.1. Management of the Association is carried out according to international legislation, and the Association Charter on principles of management and collective decision-making. 4.2. The structure of the Association is formed by: the Presidents of the Association (each of China and Russia has one presidential seat), the Honorary President, three Vice-presidents (one of whom will serve as Secretary General), the working Chairman of the Association and the General Meeting of members. The Head of the education institution which hosts Symposium of Transport Universities of Europe and Asian-Pacific Region is appointed the working Chairman of the Association. 4.2.1. The President is elected by the General Meeting of the Association for a four year period. The President heads the Association and coordinates its activities; arranges regular and extraordinary Meetings; supervises implementation of the resolutions adopted by the General Meeting; and reports to the General Meeting. 4.2.2. The Honorary President of the Association is elected in acknowledgement of his/her significant contribution to the establishment and development of the Association. The Honorary President renders consulting assistance to the General Meeting, the President, and the members of the Association. The obligations of the Honorary President are defined by the President of the Association. 4.2.3. The Vice-Presidents of the Association are elected by the General Meeting of the Association and operate certain directions of the Association’s activities. The responsibilities of the Vice-Presidents are defined by the President of the Association. 4.3. The form of joint management of the Association is in the General Meeting. The General Meeting of members of the Association is composed of representatives of members of the Association each having a voting right. 4.4. The decision on the following issues is within the competence of the General Meeting: - modification of the Charter; - realization of admission and exclusion of members of the Association; - reorganization and liquidation of the Association. 4.5. The General Meeting of the Association is convoked once a year (in the form of carrying out of the next Symposium of Transport Universities). And Zhengzhou will serve as the permanent address of the General Meeting. Extraordinary General Meetings are convoked at the request of not less than one third of all members, for decisions on urgent questions arising in the course of activity of the Association and within the competence of the General Meeting. Any number of representatives can participate in a symposium if coordinated with its organizing committee. The organizing committee of the next symposium is headed by the head of the accepting organization, which also forms the organizing committee structure. The chairperson of the extraordinary General Meeting of members is the President of the Association. 4.6. Each member of the Association has one vote in the General Meeting, which is cast in the name of the head of the school, organization or of a person having a special power of attorney. 4.7. The Supreme Board of the Association will be the Council headed by the President, Honorary President and Vice-presidents, and will be composed of one representative from each country. Definition of the priority directions of activity in the Association will be decided by the Supreme Board. 4.8. The General Meeting of members of Association is competent to act if it consists of not less than 50 % of the members of the Association. General Meeting decisions are taken by voting with a show of hands, by a simple majority of the Association members present at the session. 4.9. During the periods between General Meetings the Association’s activity is supervised by the President, the Honorary President and the Vice-presidents in accordance with the directions defined by the President. 4.10. The President and the Vice-president, acting Chancellors (Rectors) of the universities are elected by the Supreme board, and can be re-elected after the expiry of the term or withdrawn at any time at the request of not less than half of the members of the Supreme Board. 4.11. The President supervises the current work of the Association and bears responsibility for fulfillment of the objectives and the purposes set for the Association. The Vice-president replaces the President in periods of absence, and adjusts and maintains regular communication with members of the Association. The President and the Vice-president are elected by the Supreme Board for a four-year period and report to it for their activities. 4.12. In the event of the President or Vice-president changing jobs and the new job is not connected with the offices of organizations where they can promote the Association activities, they should be re-elected by the Supreme Board of the Association at the following session. 5. THE ORDER ASSOCIATION OF REORGANIZATION AND LIQUIDATION OF THE The Association reorganization is carried out by the decision of the General Meeting of members, accepted by a two-thirds majority. 6. LEGAL ADDRESS OF THE ASSOCIATION The legal address of the Association is determined by the legal address of the University headed by the President of the Association for the period of his/her being in office.
