Constitution of the Guangdong-Hong Kong-Macau University Library Alliance Chapter 1 General Principles Article 1 Name of the Alliance 1.1 Chinese name: 粤港澳高校图书馆联盟 (图书馆联盟) 1.2 English name: The Guangdong-Hong Kong-Macau University Library Alliance (The Library Alliance; hereinafter referred to as “the Alliance”) Article 2 Purpose of the Alliance 2.1 Following the Constitution of the Guangdong-Hong Kong-Macau University Alliance (粤港澳高校联盟章程), the Library Alliance is established for the purpose of facilitating the three regions of Guangdong, Hong Kong and Macau to move toward the knowledgebased economy era and to deepen academic exchanges and research cooperation among them. 2.2 The Alliance aims at promoting the cooperation among the major university libraries in Guangdong, Hong Kong and Macau, advocating resource building and sharing, enhancing the level and quality of cooperation among these libraries, in order to support and further the development of the Guangdong-Hong Kong-Macau University Alliance. Article 3 Nature of the Alliance 3.1 The Alliance is a non-profit university library collaboration alliance, initiated by the Sun Yat-sen University Library, the Chinese University of Hong Kong Library and the University of Macau Library, and composed of the major university libraries in Guangdong, Hong Kong and Macau, which join the Alliance on a voluntary basis. 3.2 The Alliance is not an independent legal entity, and does not assume the legal liabilities for its member libraries and those related to the collaboration among the member libraries as well as the outcomes resulted from such collaboration. 1 Chapter 2 Operating Mechanisms Article 4 The Alliance shall set up a Council, which shall be the decision-making body of the Alliance. 4.1 The Council shall not, in principle exceed 15 people, members of the Council must be Library Directors or University Librarians, and shall be elected by the member libraries of the Alliance upon initial self-recommendations or recommendations from the member libraries. 4.2 The Council shall have one Chair and two Vice Chairs. They shall be elected by the Council for a term of two years upon self-recommendations or recommendations from the members of the Council, and may be re-elected for one further consecutive term only. In case of personnel change, there will be re-election for any of these three posts. 4.3 The Council shall be responsible for the formulation of the Constitution of the Alliance, construction of the relevant management system, development planning, validation of the work plan of the Alliance, enrollment of new members and other major issues related to the Alliance. 4.4 The Council shall meet at least once a year and the Chair may convene ad hoc meetings. 4.5 The quorum of any Council meeting is two-thirds of the Council members. 4.6 The resolutions of the Council shall be voted on by the members of the Council present at the Council meetings, and more than two-thirds of the votes shall be deemed as effective. If necessary, decisions can be made, through ways other than formal meetings, on the occasion of urgent matters related to the Alliance. 4.7 The first Council shall consist of the three founding member libraries of the Alliance. * Article 5 Administrative support to the Alliance shall be provided by the current Chair’s library. Article 6 The Alliance shall organize an annual joint meeting of library directors, which shall coincide with the meeting of the Council to discuss important matters concerning the cooperation and development of the Alliance. Article 7 The operating expenses shall be shared by the member libraries, in ways to be agreed upon. The detailed rules for the use of the funds shall be decided through discussion at the Council meetings. Chapter 3 Cooperation Areas Article 8 Cooperation areas of the Alliance may include, but not limited to the following: 8.1 Interlibrary loan. 8.2 Document delivery. 8.3 Exchange of publications. 8.4 Exchange and training of library personnel. 8.5 Academic conferences and professional seminars. 8.6 Discretionary access to library facilities. Article 9 The Alliance shall encourage member libraries to carry out cooperation in a variety of ways, and member libraries may sign bilateral or multilateral cooperation agreements with each other. Article 10 Any member library applying for external support including execution of cooperation agreements using the name of the Alliance must have the Council’s consent. In compliance with the regulations in different institutions, endorsement of the agreement may be sought from the home institution. Chapter 4 Rights and Obligations of the Alliance members Article 11 Member libraries of the Alliance shall enjoy the following basic rights: 11.1 Monitor and inquire into the work of the Alliance, and offer advice and recommendations on the work of the Alliance. 11.2 Participate in projects, events, exchanges, training opportunities and any regular activities organized by the Alliance. 11.3 Share the resources and services offered by the Alliance. 11.4 Other rights in conformity with the Articles of this Constitution. Article 12 Member libraries of the Alliance shall fulfill the following basic obligations: 12.1 Abide by the Constitution of the Alliance to safeguard the legitimate rights and interests of the Alliance. 3 12.2 Use best efforts to fulfill the resolutions of the Council and complete the tasks of the Council and its related organisations. 12.3 Actively support the cooperation among the member libraries of the Alliance. 12.4 Actively cooperate with the work of the Alliance to ensure the smooth development of the Alliance. Chapter 5 Entry and Withdrawal from the Alliance Article 13 The parent body of a university library joining the Alliance must be a member of the Guangdong-Hong Kong-Macau University Alliance. Article 14 Membership of the Alliance is by invitation or recommendation of the Council in the first place and then confirmed with the consent of the Council. Article 15 Member libraries may voluntarily apply for withdrawal from the Alliance in accordance with relevant procedures. Any member library of the Alliance, which violates the Articles of this Constitution or fails to perform the obligations of the member, shall be advised to withdraw from the Alliance after being put to a vote and approved by the Council. Chapter 6 Supplementary Provisions Article 16 The Constitution shall be adopted and in force upon the deliberation by the Council. It shall then be promulgated to and equally binding on all member libraries of the Alliance. Article 17 With respect to the revision of the Articles or matters not covered by the Constitution, member libraries may put forward additional suggestions or amendments and submit them to the Council of the Alliance for consideration and approval before being adopted.
